Mars Discovery District ("MaRS") is pleased to present the Pitch Competition - Canadian Innovation in Sustainable Textile and Apparel (the "Competition").  
The Competition is governed by the rules set out below.  By entering the Competition, you agree to abide by the rules and decisions of MaRS and the Competition judges.  You also agree to comply with all applicable laws.  The Competition is void to the extent prohibited or restricted by law.
In these rules, "you" refers to the business entity that is entering the Competition.
THE RULES
1.	How to Enter
You may enter the Competition by going to https://www.marscatalystfund.com/pitch-competition-canadian-innovation-in-sustainable-textile-and-apparel/ (the "Site"), providing the information and documents requested at the site, and agreeing to all required contracts at the Site (collectively, your "Submission").  You must enter all information accurately, and you must accept the terms and conditions displayed as part of the registration process.  
Please note that your Submission will not be kept confidential, and that some or all of it may be disclosed to the Competition judges, jury and advisors, to MaRS employees and contractors, and to attendees at the final pitch event, and to the public generally.
Submissions must be received by MaRS on or before midnight Toronto time on July 30, 2018.  Late or incomplete submissions will not be accepted. 
It is solely your responsibility to ensure that you are properly registered and entered.  MaRS will not be responsible for any lost, delayed, misdirected, illegible, incomplete, damaged or undeliverable entries, or any delay or failure to transmit, process, receive or consider entries.  
Additional details regarding the Competition, and the requirements and judging criteria for all entries, are described at the Site (the "Requirements").  
2.	Dates
The Competition will begin on June 28, 2018, and Submissions may be made until July 30, 2018 at midnight Toronto time.  All Submissions must be received within this time period.    
On or about August 27, 2018, five finalists will be selected to attend a pitch event on or about October 3, 2018.  The winner will be announced during or shortly after the pitch event.
3.	Fees/Expenses
You are not required to make any purchase or pay any fee to enter or win the Competition.  However, you are solely responsible for all expenses you incur in connection with your Submission and business, unless MaRS offers you travel assistance in its sole discretion.   
4.	Eligibility - Entrants
You may enter the Competition only if: 
a)	you are a Canadian business entity (such as a corporation, partnership or sole proprietorship);
b)	you are at the entry level stage or at the idea level stage with a well-developed proof-of-concept product or service;
c)	your product or service is technology or an innovation (excluding fashion designs and products);  and
d)	none of your officers or directors is an employee of MaRS, or the immediate family member of any such employee.
MaRS may at any time in its sole discretion disqualify any entrant who:  does not meet the Competition's eligibility criteria, fails to comply with these rules, attempts to enter the Competition in any manner or through any means other than as described in these rules, attempts to disrupt the Competition or attempts to circumvent any of these rules.
5.	Your Submission and Business
Your Submission and Business must meet the criteria described in the Requirements (linked above).  Some examples of acceptable technology or innovations include:
"	Textile technology - Reduce environmental impact, long lasting, bio-fabrics, textile tracing technology (supply chain transparency), textile recycling
"	Water - Reduce water usage, detoxification of water streams, reduction in micro-plastics
"	Advanced Manufacturing - Reduce water, energy, new applications (e.g. lumber), reduction of life-cycle impact via new design processes, 3-D technology, high-tech printing
"	Circular Economy - Innovations to handle textile waste, mechanical and chemical recycling technology, new product development from waste (textile or other material)
MaRS may disqualify any Submission if MaRS determines in its sole discretion that the Submission or Business does not comply with the above requirements or otherwise with these rules.
6.	Your Additional Representations and Warranties
You represent and warrant that: 
(a)	you are the original creator of your Submission;
(b)	you are the sole owner of the copyright and all other rights in the Submission and in all other content you provide to MaRS in the Submission or otherwise in connection with the Competition (collectively, the "Your Content");   
(c)	MaRS and its licensees will not infringe or violate any third party's intellectual property, privacy, personality or other rights when MaRS and its licensees copy, display, edit, modify, transmit or otherwise use Your Content in connection with the Competition or the publication of the Competition or any future MaRS event;  and
(d)	you and Your Content meet all of the eligibility requirements set out in these rules.  
7.	Judging Process
MaRS' judging committee, in its sole discretion, will select up to 5 Submissions to move to the next stage (assuming that at least 5 Submissions comply with the Requirements).  The judges' decisions will be final and binding.
After hearing the pitches of the finalists at the pitch event, MaRS' jury, in its sole discretion, will select a minimum of 1 Submission as the winner.  The decision of the jury will be final and binding.
8.	Winners
Entrants who have been selected to move to the next stage of the Competition, or to be the final winner of the Competition, will be notified by email, telephone, or in person.  In order for an entrant to move onto the next stage or be declared the final Competition winner and be eligible for a prize, the entrant must have complied with, and remain in compliance with, these rules, and upon request must sign and deliver to MaRS (within 5 days after MaRS' request) a standard declaration and release form, which may include a declaration of the entrant's compliance with these rules, an acceptance of the prize as awarded, a publicity release, a liability release, and any other documentation that MaRS may require.  
MaRS may request valid proof of identity, residency, age and other relevant documentation, and MaRS may disqualify a entrant if MaRS determines (in its sole discretion) that the provided proof is not sufficient.
If the notification is returned as undeliverable or if a selected entrant does not comply with all of the above requirements within the above time frames, or does not otherwise comply with these rules, MaRS may disqualify the entrant, and the Competition judges may select a replacement.
MaRS expects to announce the names of the five finalists on or about August 27, 2018, and the final winner during or shortly after the October 3, 2018, event.
The chances of winning will depend upon the number of entrants and the quality of the Submissions.  
9.	Prizes
The is one prize to be won, with a total approximate retail value of approximately $10,000 plus $12,500 of advisory services, as follows:
"	CDN$10,000 in cash, to be used to develop or commercialize the technology or innovation in the Submission;

"	Up to 5 hours of advisory services from MaRS Catalyst Fund, with an approximate retail value of $2500.

"	Up to 10 hours of advisory services from George Brown Fashion Exchange, with an approximate retail value of $10,000.
The advisory services must be scheduled at the convenience of MaRS Catalyst Fund and George Brown Fashion Exchange, and must be used by December 31, 2019.  Those services are completely "AS IS" and are subject to the terms and conditions of any agreements MaRS Catalyst Fund and George Brown Fashion Exchange may require the winner to accept prior to receiving those services.  
Applicants are solely responsible for any taxes that they might incur from their prizes.
All prizes must be accepted as awarded (with no substitutions), and may not be sold, transferred, or converted into cash.  The winner(s) will be solely responsible for all travel and other costs associated with obtaining or redeeming the prize(s).
MaRS will make reasonable efforts to deliver prizes to the addresses/accounts provided by entrants.  However, MaRS cannot guarantee that any prizes returned to MaRS due to non-delivery at the provided address will be re-sent to the prizewinner.
10.	Cancellation
If for any reason MaRS cannot run the Competition as planned (including as a result of bugs, tampering, unauthorized intervention, fraud, technical failures, infection by computer virus or any other cause that corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of this Competition) MaRS may cancel, modify, extend or suspend the Competition.  In that event, MaRS may award prizes at random from among the eligible entries received up to the time of the impairment, or award no prizes. 
MaRS may also disqualify any entrant who tampers with or in any way corrupts the entry or judging process, or who attempts to undermine the legitimate operation of the Competition by cheating, hacking, deception, or other unfair practices, or by attempting to annoy, abuse, threaten or harass any other entrants or MaRS representatives.  
11.	Your Licence 
You will retain the intellectual property rights in your Submission.  However, you hereby grant to MaRS the unrestricted, royalty-free, perpetual, irrevocable, worldwide, sublicensable, assignable, licence (but not the obligation) to reproduce, communicate, modify, display, transmit, publicly perform, make derivative works from, and otherwise use the Submission (in whole or in part) without any fee or other form of compensation, and without further notification or permission, for the following purposes:
(a)	administering the Competition;
(b)	identifying you by name as the creator of the Submission;
(c)	displaying the winning entries in the Competition; and
(d)	advertising in any media, including to advertise the Competition, future Competitions, and MaRS' products and services.
12.	DISCLAIMERS, LIABILITY AND INDEMNIFICATION
MARS DOES NOT ACCEPT LIABILITY FOR ANY LOSS OR DAMAGE RESULTING DIRECTLY OR INDIRECTLY FROM YOUR PARTICIPATION IN THE COMPETITION OR YOUR RECEIPT, USE OR REDEMPTION OF ANY PRIZE(S), OR YOUR INABILITY TO RECEIVE, USE OR REDEEM ANY PRIZE(S).
MARS IS NOT RESPONSIBLE FOR: (1) INCORRECT OR INACCURATE TRANSCRIPTION OF ENTRY INFORMATION OR LATE, LOST, INCOMPLETE, MISDIRECTED ENTRIES, OR ENTRIES RECEIVED THROUGH IMPERMISSIBLE OR ILLEGITIMATE CHANNELS; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING THE MALFUNCTIONING OF ANY TELEPHONE, COMPUTER, NETWORK, HARDWARE OR SOFTWARE; (3) THE UNAVAILABILITY OR INACCESSIBILITY OF ANY SERVICE; (4) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THE COMPETITION; (5) ELECTRONIC OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE COMPETITION OR THE PROCESSING OF ENTRIES; OR (6) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY, INCLUDING YOUR COMPUTER, WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM YOUR PARTICIPATION IN THE COMPETITION OR FROM DOWNLOADING OR USING ANY MATERIAL PROVIDED BY MARS.
MARS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES IN CONNECTION WITH THE COMPETITION OR THESE RULES.  
YOU HEREBY RELEASE AND AGREE TO INDEMNIFY AND HOLD HARMLESS MARS AND ITS EMPLOYEES, DIRECTORS, OFFICERS, AFFILIATES, AGENTS, JUDGES AND ADVERTISING AND PROMOTIONAL AGENCIES FROM ANY AND ALL DAMAGES, INJURIES, CLAIMS, CAUSES OF ACTIONS, LIABILITY OR LOSSES OF ANY KIND (INCLUDING ACTUAL LEGAL FEES AND EXPENSES), KNOWN OR UNKNOWN, ABSOLUTE OR CONTINGENT, NOW OR IN THE FUTURE ARISING FROM OR RELATED TO: (A) YOUR FAILURE TO COMPLY WITH ANY OF THESE RULES;  (B) ANY MISREPRESENTATION YOU MAKE UNDER THESE RULES OR OTHERWISE TO MARS;  (C) YOUR PARTICIPATION IN THE COMPETITION;  OR (D) YOUR RECEIPT, USE OR REDEMPTION OF ANY PRIZE, OR YOUR INABILITY TO RECEIVE, USE OR REDEEM ANY PRIZE.
13.	Consent
Your Content will be viewed by MaRS and its selection committee (which includes outside technical/industry experts and advisors), by jury members, and by third parties including the public.  It will be used to assess your eligibility to participate in the Competition, to evaluate your application, to administer the Competition, to promote the Competition and any future Competitions, and for the other purposes described above.  MaRS may also use the individuals' names, photographs, home towns and information in Your Content for these purposes.  While you are encouraged to be as open as possible in your application, MaRS advises against providing any sensitive information. YOU HEREBY CONSENT TO MARS USING AND DISCLOSING ALL INFORMATION IN YOUR CONTENT (INCLUDING ALL PERSONAL INFORMATION) FOR THE PURPOSES DESCRIBED ABOVE.    
14.	Law
The Rules will be governed by and construed in accordance with the laws of the Province of Ontario, Canada and the federal laws of Canada applicable in Ontario.
15.	Disputes
All disputes, claims and causes of action arising out of or connected with the Competition, prizes or these rules will be resolved individually, without resort to any form of class action, and exclusively by the appropriate court of the Province of Ontario, Canada.
